Terms of Service

Structo is operated by Structo LLC, a Wyoming limited liability company, located at 30 N Gould St, STE R, Sheridan, WY 82801, USA.
Welcome to Structo. By downloading, installing, or using Structo ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
1. About Structo
Structo is a project management application built for construction professionals, architects, and contractors. The App provides tools for managing blueprints, taking measurements, tracking costs, organizing project files, collaborating with team members, and generating AI-assisted estimates from architectural drawings.
2. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account and use Structo. By using the App, you represent that you meet this requirement. Structo is designed for use by construction industry professionals and is not intended for consumers or general public use.
3. Your Account
- You are responsible for maintaining the confidentiality of your login credentials.
- You must provide a valid email address during registration.
- Each account is for a single person or entity. Sharing credentials is not permitted.
- You are responsible for all activity that occurs under your account.
- Notify us immediately if you suspect unauthorized access to your account.
4. Subscriptions and Payments
Structo offers free and paid subscription tiers (Pro and Max). Paid subscriptions are processed through Apple's App Store and are subject to Apple's terms and billing policies.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or yearly) at the then-current subscription price, unless you cancel at least 24 hours before the end of the current period.
- Free Trial: If a free trial is offered, it converts to a paid subscription at the end of the trial period unless cancelled beforehand. The subscription price and duration will be clearly displayed before you confirm.
- Managing Your Subscription: You can view, change, or cancel your subscription at any time through your Apple ID account settings (Settings > Apple ID > Subscriptions).
- Cancellation: When you cancel, your subscription remains active until the end of the current billing period. You will not be charged again after cancellation, but no prorated refunds are issued for the remaining period.
- Refunds: Refunds are handled by Apple in accordance with their refund policies. Contact Apple Support to request a refund.
- Price Changes: We reserve the right to modify pricing with reasonable advance notice. You will be notified of any price increase before your next renewal. Continued use after the price change constitutes acceptance.
5. Your Content and Data
You retain full ownership of all project data, files, measurements, cost items, supplier information, and any other content you create or upload to Structo.
We do not claim any intellectual property rights over your content. You grant Structo a limited, non-exclusive license to store, process, transmit, and display your content solely for the purpose of providing and improving the service.
You are responsible for maintaining your own backups. While we take reasonable precautions to protect your data, we recommend keeping independent copies of critical project files.
Copyright and Intellectual Property Warranty: You represent and warrant that you have all necessary rights, licenses, and permissions to upload, store, and process all content in Structo, including architectural drawings, blueprints, plans, and other copyrighted materials. Architectural drawings and blueprints are typically protected by copyright held by the architect, design firm, or property owner. You are solely responsible for obtaining all necessary permissions and licenses before uploading any copyrighted materials to the App. You agree to indemnify and hold harmless Structo LLC from any claims, damages, or expenses (including reasonable attorney fees) arising from your unauthorized use of copyrighted content or infringement of any third-party intellectual property rights.
6. AI-Assisted Estimates
Important Disclaimer: Structo's AI analysis feature uses artificial intelligence to generate construction estimates from architectural drawings. These estimates are approximate and are provided for informational purposes only. They are not binding quotations, fixed prices, or guaranteed costs.
By using the AI estimation feature, you acknowledge and agree that:
- Estimates are approximate. AI-generated outputs may contain errors, omissions, or inaccuracies. The accuracy of estimates depends significantly on the quality, scale, and level of detail in the uploaded plans.
- Not a substitute for professional judgment. AI estimates are intended as a starting point to help you quickly generate cost categories and measurements. They are a productivity tool, not a replacement for professional estimating, engineering, or architectural review.
- User verification required. You must independently review, verify, and adjust all AI-generated figures before relying on them for bidding, purchasing, contracting, or construction decisions.
- No guarantee of completeness. The AI may not detect all elements in a plan (doors, windows, electrical fixtures, plumbing, etc.) and may misinterpret complex or non-standard drawings.
- Market variability. Actual costs will vary based on material prices, labor rates, site conditions, geographic location, scope changes, regulatory requirements, and other factors that the AI cannot predict.
- Your responsibility. You bear full responsibility for all decisions made based on AI-generated estimates, including compliance with all applicable building codes, regulations, and professional standards.
- Third-party AI processing. Plan images submitted for AI analysis are processed by third-party AI services (Google Gemini). While we do not store your images on third-party servers beyond the duration of the analysis request, you should not submit plans containing classified, export-controlled, or highly sensitive information through the AI feature.
7. Measurements and Calculations
Important: All measurement tools, cost calculations, DXF geometry extraction, and other computational features in Structo are provided as professional aids. They are approximations based on available data and user inputs. They are not certified surveys, engineering calculations, or legally binding measurements.
- Always confirm critical measurements and calculations through independent professional means (licensed surveyors, engineers, or estimators) before relying on them for construction, bidding, or contractual purposes.
- DXF file measurements depend on the accuracy of the source file, including correct unit settings and drawing precision. Structo cannot verify the accuracy of the source drawings.
- Structo is a tool to assist professional judgment, not a replacement for it.
7A. DWG File Conversion
The App provides DWG-to-DXF file conversion through third-party cloud services. By using this feature, you acknowledge and agree that:
- Third-party processing: DWG files are temporarily uploaded to a third-party cloud conversion service for processing. Files are transmitted securely over HTTPS and deleted immediately upon conversion completion.
- No guarantee of accuracy: File conversion may result in loss of fidelity, missing elements, incorrect scaling, or data corruption. You must verify converted files meet your requirements before use.
- Limited liability: Structo is not responsible for conversion errors, incomplete conversions, file corruption, or any damages resulting from the use of converted files.
- File compatibility: Not all DWG file versions or features may be supported. Complex drawings may not convert correctly.
- Your responsibility: You are responsible for verifying the accuracy and completeness of all converted files before relying on them for any purpose.
8. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload, store, or transmit any malicious, harmful, or objectionable content.
- Upload, store, or transmit any content that is subject to export control regulations (including ITAR or EAR-controlled technical data), classified information, or content subject to governmental access restrictions.
- Attempt to access, tamper with, or use other users' accounts or data without authorization.
- Interfere with, disrupt, or place undue burden on the App's infrastructure or services.
- Reverse-engineer, decompile, disassemble, or create derivative works from the App.
- Use automated tools to scrape, crawl, or extract data from the service.
- Resell, sublicense, or redistribute the App or any part of it.
- Use the AI analysis feature to train competing machine learning models or for any purpose other than generating construction estimates for your own projects.
9. Project Sharing and Collaboration
When you share a project with another user, you grant them access to view and, if permitted, edit that project's data. You are responsible for managing access to your shared projects and ensuring you have the right to share the content (e.g., architectural drawings may be subject to copyright held by the architect). Structo is not responsible for actions taken by collaborators you have invited.
10. Service Availability
We strive to keep Structo available and reliable, but we cannot guarantee uninterrupted service. The App may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
- Cloud synchronization depends on Firebase infrastructure and your internet connection.
- AI analysis requires an active internet connection and depends on third-party AI service availability.
- DWG-to-DXF conversion requires an active internet connection and cloud processing.
- The App supports offline functionality through local storage. Changes sync when connectivity is restored.
- We may modify, suspend, or discontinue features with reasonable notice when possible.
10A. Force Majeure
Structo shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, fires, floods, earthquakes, or severe weather
- War, terrorism, civil unrest, riots, or acts of governmental authority
- Third-party service failures, including Firebase, Google Cloud Platform, Google Gemini API, Apple App Store services, or other cloud infrastructure providers
- Power outages, telecommunications failures, or internet service disruptions
- Pandemics, epidemics, or public health emergencies
- Cyberattacks, denial-of-service attacks, or other malicious activities targeting our infrastructure or third-party services
- Changes in law or governmental regulations that prevent us from providing the service
In the event of a force majeure circumstance, our obligations under these Terms will be suspended for the duration of the event. We will make reasonable efforts to notify you of any prolonged service disruptions.
11. Intellectual Property
Structo, including its design, code, graphics, logos, and documentation, is the intellectual property of Structo LLC and is protected by copyright and other intellectual property laws. These Terms do not grant you any right to use the Structo name, logo, or branding.
12. Disclaimer of Warranties
STRUCTO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Without limiting the foregoing, Structo does not warrant that:
- The App will be uninterrupted, error-free, or free of bugs or defects.
- Any measurements, estimates, calculations, or AI-generated outputs will be accurate, complete, or suitable for any particular purpose.
- The App will meet your specific requirements or expectations.
- Any data stored or transmitted through the App will be preserved without loss or corruption.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRUCTO AND ITS DEVELOPERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Cost overruns, project delays, or construction defects
- Inaccurate estimates, measurements, or calculations
- Decisions made in reliance on AI-generated outputs
- Loss of data or corruption of project files
- Inability to access the service
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless Structo and its developers from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your reliance on any measurements, estimates, or AI-generated outputs; or (d) any content you upload, share, or distribute through the App.
15. Termination
- You may stop using Structo and delete your account at any time.
- We may suspend or terminate your access if you violate these Terms or engage in conduct harmful to other users or the service.
- Upon termination, your right to use the App ceases. You may export your data at any time through the App's export features. Upon request, we will provide a reasonable period (minimum 30 days) before deleting your cloud data to allow for export. After this period, data stored in the cloud will be permanently deleted.
- Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in Structo's operating jurisdiction, except where prohibited by law.
Class Action Waiver: To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
17. Regional Terms
The following additional terms apply depending on your location. Where regional terms conflict with the general terms above, the regional terms prevail for users in the applicable jurisdiction.
17.1 European Economic Area, United Kingdom, and Switzerland (GDPR)
If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, the following applies in addition to these Terms:
- Legal Basis for Processing: We process your personal data on the following legal bases: (a) performance of our contract with you (providing the service); (b) your consent (where applicable, such as for AI analysis of your plans); (c) our legitimate interests (improving the service, preventing fraud).
- Your Rights: Under the General Data Protection Regulation (GDPR) and UK GDPR, you have the right to: access your personal data; rectify inaccurate data; erase your data ("right to be forgotten"); restrict processing; data portability; object to processing; and withdraw consent at any time. To exercise these rights, contact support@structo.llc.
- Data Transfers: Your data may be transferred to and processed in countries outside the EEA/UK, including the United States. We rely on Standard Contractual Clauses (SCCs) approved by the European Commission and/or UK International Data Transfer Agreements to safeguard these transfers.
- Data Protection Authority: You have the right to lodge a complaint with your local data protection supervisory authority if you believe your data is being processed unlawfully.
- Limitation of Liability: Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable EU/UK law.
- Consumer Rights: If you are a consumer in the EU/UK, you may have a statutory right to a 14-day cooling-off period for digital purchases. Subscriptions purchased through the App Store are subject to Apple's refund policies and applicable consumer protection laws.
- Arbitration: The arbitration and class action waiver clauses in Section 16 do not apply to EEA/UK users to the extent they conflict with mandatory consumer protection laws.
17.2 United States — California (CCPA/CPRA)
If you are a California resident, the following applies under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA):
- We do not sell or share your personal information as defined under the CCPA/CPRA.
- Categories of Personal Information Collected: Identifiers (email address, name); commercial information (subscription status); internet or electronic network activity (usage of cloud sync); and professional information (user role, project data).
- Your Rights: You have the right to: know what personal information we collect and how it is used; request deletion of your personal information; opt out of the sale or sharing of personal information (we do not sell or share); non-discrimination for exercising your privacy rights; and correct inaccurate personal information.
- Exercising Your Rights: Contact support@structo.llc. We will verify your identity before processing requests. We will respond within 45 days as required by law.
- Authorized Agents: You may designate an authorized agent to submit requests on your behalf with proper written authorization.
- Auto-Renewal: In accordance with California Business and Professions Code Section 17600 et seq., subscriptions renew automatically. You will receive clear disclosure of the renewal terms, price, and cancellation method before subscribing.
17.3 Canada (PIPEDA)
If you are located in Canada, the following applies under the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws:
- We collect, use, and disclose your personal information only for purposes that a reasonable person would consider appropriate in the circumstances.
- You have the right to access your personal information held by us and to challenge its accuracy.
- We will obtain your meaningful consent for the collection, use, and disclosure of your personal information, except where permitted or required by law.
- To access, correct, or delete your personal information, or to file a complaint, contact support@structo.llc. You may also contact the Office of the Privacy Commissioner of Canada.
17.4 Australia (Australian Privacy Act)
If you are located in Australia, the following applies under the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs):
- We collect and handle your personal information in accordance with the Australian Privacy Principles.
- You have the right to: access your personal information; request correction of inaccurate information; and make a complaint about our handling of your personal information.
- Your data may be transferred to and stored in countries outside Australia (including the United States). By using the App, you consent to this transfer. We take reasonable steps to ensure overseas recipients handle your information consistently with the APPs.
- If you are not satisfied with our response to a complaint, you may contact the Office of the Australian Information Commissioner (OAIC).
- Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.
17.5 Brazil (LGPD)
If you are located in Brazil, the following applies under the Lei Geral de Proteção de Dados (LGPD):
- We process your personal data based on: (a) the performance of our contract with you; (b) your consent; or (c) our legitimate interests.
- You have the right to: confirm whether your data is being processed; access your data; correct incomplete or inaccurate data; anonymize, block, or delete unnecessary data; request data portability; request deletion of data processed with your consent; obtain information about entities with which we share your data; and be informed about the possibility of not providing consent and its consequences.
- To exercise your rights, contact support@structo.llc. You may also contact the Autoridade Nacional de Proteção de Dados (ANPD).
17.6 Other Jurisdictions
If you are located in a jurisdiction with data protection laws not specifically addressed above, we will comply with applicable local laws to the extent they apply to our processing of your personal data. Where local law provides greater protections than those described in these Terms, the local law prevails. Contact support@structo.llc for jurisdiction-specific requests.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you through the App or by email. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the App.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed. The remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Structo regarding your use of the App, and supersede any prior agreements or understandings.
